1202 Stock Sale?

Anyone have experience doing a 1202 stock sale to not trigger capital gains? Recently learned about it and curious if there’s any real life applications someone could share.

Seems like it could be a benefit for the seller as well as a negotiating tactic for the buyer.

Hey folks, looks like this topic of IRS Section 1202 was raised a year ago but didn't have a lot of discussion so I'm bringing it back to the surface. My understanding is this can be done for either a stock sale or asset sale as long as new-co is a C-Corp. Anyone out there have experience doing this on the buy side?
