We analyzed 246 deals, 4 LOI, and closed on 2. here is my lessons learned:
💰 Make it profitable: EBITDA ≥ 25% = healthy business. If there's no margin, there's no magic.
💵 Cash flow, not illusions: Billing isn't the same as getting paid. Buy cash flow, not promises.
👥 A team that works without you. If the business dies when you go on vacation… you bought a job.
🤔 Ask yourself why they're selling. The "why" is worth more than any KPI.
💡 Don't buy a client: If a single client accounts for more than 20% of your revenue, it's not a business, it's emotional dependency.
🩺 Take their temperature: If they're not breathing down their necks, they'll suffocate you.
Current Ratio > 1.5 → they can pay their bills.
Debt/Equity Ratio < 2 → they're not living on credit.
DSCR > 1.25 → cash flow covers debt.
📈 Ensure growth: At least 10% annually. A company without growth is a story that's already over.
