SearchFunders,
We're currently exploring CPA practice acquisitions. I have been recruiting and interviewing prospective Tax Partners over the past two months while vetting different practice offerings across the country. Ever the entrepreneur, when contemplating structure and financing, I asked a very simple question and received a very positive response. The question was, "If you have an ownership group of non-familial owners, could they borrow their respective $5M in SBA-backed debt if no owner owned more than 20%?"
Credit to ^redacted at Commercial Lending X for the response. He replied, "Great question. If there are no owners who own 20% or more, the SBA still requires one owner to be the guarantor. Usually that owner is the primary owner / Manager depending on the type of company you set up. That owners SBA exposure would then be limited going forward based on the debt taken on with this specific transaction.
All of the other owners who owned less than 20% and did not guarantee the debt would still have their individual exposure limit of $5 million available to them. So in theory, yes you could get up to $30 million in SBA exposure by changing the ownership metrics around between 6 owners." (Brad's reply modified for clarity.)
Food for thought. . .that's PER NAICS code!!!
I have often wondered why more members of this community haven't formed teams to acquire multiple businesses. The brain power and experience of SearchFunder members is exceptional. I truly believe that working with like-minded individuals will allow a faster path to success for more people than working alone.
