Take a storefront with clean financials and healthy-looking paid numbers. Dig into the digital side, and you find roughly 70% of organic traffic sitting in two keywords, a prior policy flag on the Meta ad account that was never disclosed, and an email list nobody has touched in two years. None of it shows up in the SIM or the QoE, and all three hit you in the first 90 days after close.
