A post like this here is like throwing blood in the water during Shark Week. There are so many great lawyers that specialize in M&A. I recommend interviewing several. Obviously, fees and how they bill should be discussed, but beyond that, it is important that they have experience with your type of deal and your industry. It is also important that you feel comfortable working with them because they are a critical member of your deal team and you shouldn't dread calling them.

Here is my advice, and it's simple: no matter who you want to use as an attorney, ask for a few client references and search Searchfunder for any people who have used them. Then, when talking to prior clients, the two most important things for your to gather are (1) is this person going to competently represent you and (2) are they going to view you as important to them and respond quickly? There are many good attorneys. Two I have used are ^redacted‌ at Brightpoint and Kevin Henderson at SMB Law. But many I have talked to or worked with have not been responsive or their references indicated that there is sometimes too much on their plate.

There is no transaction more important to you than your acquisition. But your attorney may be working on 5 or 10 transactions all at once. You need to make sure that when there is a problem, you will be prioritized. As a corollary: if the attorney makes it difficult to schedule an intro call, doesn't want to give references, etc., take that as a cue that you are not their priority and move on, even if the references are strong and everyone points to them as a great candidate.
