Any experience with fractional General Counsels?
Hey team - looking for perspective on fractional GCs as we expand. Specifically help negotiating MSAs and JV agreements with larger corporates. Any insights? Thanks!

Yes - lots of thoughts, chief among them that you have to scale the engagement to meet the needs of the firm and the sophistication of the deal counterparties. Almost as important, if they're going to be out front negotiating they need to have a cultural and personality fit with the firm too. Happy to talk you through an evaluation process on whether it makes sense and if so, what that should look like. I also work as a fractional GC for a few companies - but no pressure to hire me or anything - and I can help with cost and workflow expectations and the like. Feel free to shoot me a DM if you want to connect.

Hi Ray - Me and my team do fractional GC work for select growth-stage companies and can support exactly this scope. My background includes Simpson Thacher, Morgan Stanley and Fortune 500 in-house legal work, and I currently run this model on a reasonably priced monthly retainer that keeps legal spend predictable. Clients value the ability to move quickly on MSAs, JV structures, revenue splits, and negotiation without unpredictable billing.
I work with a high-touch team of lawyers so coverage is never an issue, even when deal flow spikes. I’m also a searcher, so I understand the nuance of lender terms, rollover equity, diligence, and the realities of closing in our world.
If helpful, I’m happy to jump on a call or connect you with a lawyer on my team.
