Hi, if my understanding is correct the SBA doesn’t allow for seller upside such as earnouts or rollover equity so does anyone have connections with any non sba lender that is willing to fund small businesses with EBITDA that’s only 400k or more?

Hi Joe …. Y0ur understanding is correct. SBA SOPs do not permit equity rollovers and earnouts; forgivable/reduceable seller notes are the closest type of permissible paper. Of the few non-SBA lenders that I know at the smaller end, they typically look for EBITDA of at least $1MM for a cash flow predicated loan. Interest rates are, typically, well into the double digits.

We are non-SBA lenders. Flexible on terms / rates. Happy to learn more about the opportunity: redacted
