I am in talks with a seller with an established moving, hauling, and storage business. I would like to talk to someone who is in the industry or has been through the DD process to understand what to look for.

Hi, Imran. I represented a moving company a few years back in its acquisition of another carrier. The answer depends in large part what the scope of the business is that you are acquiring. If the company engages in trucking in multiple states (i.e., crosses state lines while hauling cargo), then there are numerous federal regulations that you need to make sure have all been properly complied with. Even if the operation is solely intra-state, depending upon the State, there are state and local regulatory compliance issues specific to trucking operations. Be sure to add this regulatory compliance review to everything you would also be looking at for an acquisition regardless of the industry. Best of luck with your deal.
