SF experience MUCH less important than regular M&A experience. Don't bother working with an atty who doesn't do M&A transactions for a living. You are wasting your time...and money.

If you can, use a lawyer with SF experience. If not, make sure you use an experienced deal lawyer not a generalist or someone who only dabbles in deals on occasion.
