I’m submitting a LOI this week on a soundproofing company. Good reputation, limited competition, good market. Has some downsides such as messy books and RMO dependencies. Anyone have experience in the soundproofing space?

Hi ^redacted‌ - nice to meet you. It would be great to get a bit more information about this deal, but I've financed these businesses in the past. The real value of this business is that it sits behind a regulatory wall that keeps getting taller. The International Building Code requires a minimum STC (Sound Transmission Class) rating of 50 for all multifamily construction, and that's just the floor. The ICC's own guideline recommends STC 55 for "Acceptable" performance and STC 60 for "Preferred" performance Fiebig Architecture, and luxury developers are increasingly building to those higher standards to avoid tenant complaints and litigation. Here's why that matters for your deal: poor soundproofing is nearly impossible to fix after the fact, and when noise problems are discovered post-construction, solutions are very difficult and expensive to resolve, with most cases having no easy fix. Acoustic Doors That means the soundproofing contractor has massive pricing power. The builder can't skip it (code won't allow it), the builder can't cheap out on it (they're on the hook for construction defect litigation for years post-close), and the builder can't easily switch providers mid-project because acoustics is specialized work where the contractor's reputation and track record with inspectors actually matters.
