Are there experienced acquisition partners open to a structured equity, operating, and lender-support role in an SBA-backed software acquisition?
Hello! I’m located in Michigan and I’m exploring the possibility of purchasing an established vertical B2B software company. This business has a consistent revenue stream, strong operating cash flow, and excellent customer relationships. Before I proceed with a Letter of Intent or secure financing, there are several things I need to investigate. Like any deal, this one hinges on financial checks, lender reviews, negotiations, and maintaining confidentiality.
I’m reaching out to connect with experienced individuals or groups who might be interested in partnering with me as an active, full-time buyer-operator. I’m particularly interested in speaking with people who have experience in:
- Acquiring or managing established software companies- SBA-backed or lower-middle-market deals- Acquisition entrepreneurship or search investing- Tech-enabled business operations- Structuring transactions and coordinating with lenders- Assisting first-time buyers through the diligence and transition process
Depending on how things align and what lenders require, the role could involve a combination of:
- Equity participation- Operating or strategic support- Governance or advisory roles- Assisting in assessing the buyer-equity portion- Providing lender-required credit support or guaranty participation
Any arrangement would need lender approval, thorough diligence, legal documentation, and agreed-upon economics and protections. I’m not looking for someone to just be a passive name on the paper, and I’m not asking anyone to commit without fully understanding the opportunity and its risks.
I’ll be the active operator after the deal closes. The initial focus of the underwriting is on:
- Customer concentration and retention- Contract structure and revenue stability- Quality of earnings and owner-related expenses- Transition needs for the founder and technical team- Fit with senior lenders and equity requirements- Debt-service capacity under conservative assumptions
The business and transaction details are confidential, so I won’t be sharing any identifying information publicly. Once we’ve had an initial fit discussion and put the necessary confidentiality measures in place, I can share a sanitized overview and discuss the diligence process, my background, and the potential deal structure.
If you have relevant experience in acquisition, operations, investment, or lending, please send me a private message with:
- Your background in transactions or operations- The types of roles you usually pursue- Your experience with SBA or acquisition financing- Whether you typically provide capital, operating support, credit support, or a combination
I’m looking for relationships that are aligned, with transparent risk allocation and a well-structured transaction, not just someone willing to sign documents.
