Does anyone have clarity whether or not a search fund needs to register as an investment advisor, more specifically at the state level? I understand there is no need to register at a federal level, and it varies based on the state, but there seems to be a gray area surrounding this topic.
My legal team is torn about this.
Any help would be greatly appreciated!
