Offering a convertible note for 24 months. For 7 million to be converted into shares of company anytime within the 24 months for a 20% discounted price on shares. The note will pay a return of 12% annually for the 24 months. After the 24 months end, the investor can have principle back or convert into shares for all or portion.
Note is backed by all company assets.
Deal expires March 31st 2023 and must fund entirely prior.

We have 4.5 million and short 7 million.
Evaluation will immediately be 20 million at 10x EBITDA.
