Best Practices for Employee Transition from Seller Entity to Buyer Entity?
For those who have acquired an existing business with a meaningful number of part-time employees, I’d love to hear how you handled the employee transition process from the seller’s entity to the buyer’s entity. (Specifically the technical termination from one entity and the automatic hiring by the new entity.)
I’m in the final stages of acquiring a multi-unit wellness franchise with ~50 mostly part-time employees. One issue we’re working through is how to transition the team cleanly on Day 1 without creating a confusing or unsettling employee experience.
The seller has been advised that he may need to send termination notices to all employees, and I would then send follow-up notices saying they are being rehired by my entities effective closing / Day 1. (And wants to do so before informing them of the sale of the business.) There are also timing requirements around certain employee notices, and our shared PEO has told us they do not handle the “fire and rehire” mechanics in an M&A transaction.
My concern is that multiple emails covering termination, rehire, ownership change, onboarding forms, and Day 1 expectations could easily get lost in the shuffle — especially for ~50 part-time employees who may not be closely monitoring every HR email. I want to make sure we do this correctly, but also avoid unnecessarily startling the team or making people feel like their jobs are at risk.
My instinct is to communicate this as a technical employer change: same roles, same day-to-day expectations, same studios, same clients, but a new ownership entity and new HR/onboarding paperwork. I’d like the process to feel organized, reassuring, and simple for employees.
For anyone who has been through this before: how did you handle the legal/technical transfer process while preserving a good employee experience? Any lessons learned on sequencing, messaging, who sends what, or what you would avoid doing again?
