Biggest Source of Deal Pain!

I have not made it all the way through the process of buying a business, but I have definitely had pain points in my searching. Mine range from insane NDAs, to owner dependency, to deal availability geographically. Wondering what your biggest pain points have been in your efforts so far?

I won’t share the specific broker or NDA, but in general this was incredibly broker heavy for protection, detailed liability (to you as the buyer) of commission dollars not disclosed to you, wiped their hands clean of misrepresentation of the business, no contact unless through the broker, etc. I understand the need for protection, but when you have had prior NDAs that were straight forward and collaborative in the effort of protecting shared information, this came as a legal heavy contract offering no buyer protection.
