Buy-side M&A advisory services for <$3M deals

Looking for someone who can support buy side M&A for a specific deal that's under $3M. Ideally, they'd allow for an initial engagement that's purely consultative,focused on assessing the deal, negotiating terms, and crafting the LOI. Should LOI be accepted, then additional support / engagement would be needed around diligence, but I want that to be separate. Does this type of service exist? Recommendations?
