I have a very mature mid-Atlantic laboratory equipment manufacturer under LOI. The deal is proprietary and I'm syndicating myself then stepping in as CEO. The business sells into lab segments in molecular biology research, blood banking, pathology, histology, and IVF- the latter in a limited capacity for now. I'm looking for long-hold investors to partner with and build a great company. I have been a president, founder, and CEO in the space over the last 10+ years and have successfully run this playbook previously. The deal has hair and material execution risk, but is a mispriced and underperforming asset in need of an operator and leader. My economics are entirely subordinate to return of invested capital plus a pref, and my comp is set at FMV. Interests are well-aligned to returns and performance- I don't see upside until investors do well and I don't do well until they do great. I'm raising $6.5M in equity and plan to return invested capital and pref within four years. I'm interested in checks $500k or more to keep the cap table small and aligned. Thanks to anyone that took the time to read this!
