A qualified buyer will acquire two franchise territories with court-approved title transfer and all assets free and clear. The seller will remain available post-close to provide training and transition support to the new owner. The BK stemmed from a dispute and the company has remained profitable for the past 16 years, never reported a loss. Filing for 11 was a strategic decision to "stay" the lone creditor with claim. (Might I say an egregious claim).... The dispute has been resolved in Court and will not transfer to the buyer. The owner is using Section 363 of the Bankruptcy code as a means to exit. This allows for a buyer to have the "cleanest" acquisition possible. The current offer that has been accepted is being subjected to higher and better offers. $725k is the minimum overbid amount.
