The business generates approximately $35,000 per contract, supported by stable recurring revenue and strong student outcomes. With a high-margin profile and opportunities for growth through pricing optimization, service expansion, and increased market penetration, the platform is well-positioned for scale.
The transaction is being executed at approximately 3x EBITDA. The Seller/current CEO will remain in place post-close, providing continuity and leadership. The Seller is supporting the transition by providing a $400,000 seller note and rolling 15% of equity, demonstrating strong conviction in the business’s future. Sponsors are contributing $140,000, and only $100,000 of preferred equity is required to complete the deal.
