Deal Discipline
**Deal Discipline — A Better Way to Evaluate a Business Acquisition** A reasonable acquisition multiple does not necessarily mean a good acquisition. Two businesses can report identical EBITDA and deserve very different valuations. The difference often lies in the durability of earnings, customer relationships, competitive position, management dependence, and assumptions about what happens after closing. I developed **Deal Discipline** to help prospective buyers evaluate those questions systematically before committing substantial capital. The framework encourages buyers to look beyond the asking price and financial projections to understand what they are actually purchasing, where the risks lie, and whether the economics justify proceeding. My background combines investment banking, corporate law, general counsel experience, and executive management. One lesson from that experience is that a transaction can be technically defensible and still be commercially wrong. I'm interested in hearing from searchers and acquisition entrepreneurs about the assumptions they find most difficult to test before submitting an LOI. You can learn more at **DealDiscipline.com**.
