Hi ^redacted‌, structuring a deal can be as creative as the parties involved desire. There are a lot of possibilities, from structuring debt like equity to put options. It ultimately depends on your investors are and what terms are agreed upon. Typically, you’re able to get more creative in deal structuring with friends and family investors, but it all depends on the openness of the parties involved. We also discuss put options in episode 15 of our podcast, Dealmaking with Laura DiFrancesco, available here deanstreetlaw.com/links. I’d be happy to talk about it more and you can schedule a call with me through the following link deanstreetlaw.com/links

Our model hinges on alternative structures - it depends on what you're trying to accomplish. For raising SPV by SPV we created an instrument that is better for investors and for the GP. Happy to talk through and see if I can be helpful.
