Does anyone have an example LOI for 338(h)(10) election?

We are considering doing a 338(h)(10) election, which is a Stock Purchase treated as an Asset Purchase for tax purposes.

Additionally, there is property that can be included in the deal that we would like to purchase.

Does anyone have experience with this? Can someone share an LOI for this type of deal?
