Does anyone know of a QoE provider who defers payment until closing?

Hi Everyone,

I'm looking for a QoE provider who defers payment until closing. I don’t need a provider immediately, but I’m in the process of assembling my deal team. Since the rest of my team is deferring payment until closing, it makes sense to keep everything aligned. Appreciate any recommendations—thanks in advance for the help!

Hi Gabriel, my firm has done this kind of arrangement before. We are happy to not charge until the QoE is completed, but we don’t base our agreement on the deal closing because it doesn’t align with the integrity of our duties. It would be like paying an audit firm only if they gave the company they are auditing a clean opinion. It incentivizes them to sweep things under the rug if they find anything bad during due diligence just so the deal will go through so they can get paid.

Not that most self respecting CPA’s would do this because it is unethical, but it’s better to be safe than sorry.

I interviewed dozens of vendors recently, and most are open to deferring payments until closing, so a payment could be made from a newly acquired company. In some cases, you may need to put in a refundable security deposit (retainer). As long as they are confident in you paying for their work, whether a deal closes or not, they will compromise with you on the payment structure.
