We are looking for a senior debt financing partner for a buyout of a SaaS e-comm business with 5k+ customers, ~$18M revenue (~$11M ARR) and $5M EBITDA. The company is currently owned by its former creditor and harvesting cash after a foreclosure in 2020.
The acquirer is looking for a partner to assist with the purchase of the asset for ~$5.5M 100% fully financed upfront (no earnouts) and offering up to 10-20% warrant coverage to the potential senior lender. He is a highly experienced, deeply connected operator and repeat founder with 30+ years of technology leadership experience and will remain as CEO post-close. He has previously delivered ~$1.5bn+ in returns for shareholders, including a 4x for a distressed early-stage turnaround. The growth plan includes GMV-aligned repricing, sales and marketing reinvestment, payments penetration, a value-added services layer implementation, and enterprise GTM targeting Shopify Plus, BigCommerce, and WooCommerce migration.
