Employee Equity Structure?
I'm working on acquiring in the tax and accounting space, which is one that has historically had a lot of focus on partnership/equity for key employees. I'm currently talking to a seller that wants to see his key employees receive or be able to buy-in to equity at time of sale. Does anyone have thoughts on how to best structure this? At a high level, I'm not opposed to employee ownership. However, I want to make sure it is also aligned with retention and could scale well with future add-on acquisitions. Has anyone ever seen a call option where the equity can be repurchased by the company if an employee is no longer employed with the company? Also, hoping to use an S corp structure so any specific thoughts related to this are appreciated as well. Thank you!
