Great points! Development cost is just one factor, but the true value of a SaaS company goes far beyond that. The real moat comes from: ✅ Deep Customer Relationships – This business has a sticky customer base with mission-critical software, driving strong retention and expansion. ✅ Domain Expertise & Team – The company’s team has built industry-specific knowledge that’s hard to replicate overnight. ✅ Market Position & Momentum – With 20% YoY growth and a strong management team in place, this isn’t just about tech—it’s about execution and timing. ✅ AI as an Enhancer, Not a Threat – AI may reshape workflows, but it won’t eliminate the need for specialized SaaS solutions with strong customer integration. That’s exactly why this deal is compelling—it’s not just software, it’s a proven business with real traction.

The development cost is just a small part of the equation. Before AI we had outsourcing to Eastern Europe and India, some still use this technique to reduce R&D costs.

Outside of the obvious cashflow, the value of the SaaS stands from the knowledge held by its employees, long term connections with customers and its timing of the market.

I'm in the software vendor/builder industry vor over 15 years - AI will kill very few of the existing SaaS companies, but it will change a lot of non-software business.
