File hosting service for due diligence

Hi,

On a recent strategic acquisition, the deal team used Dropbox to organize and share data between the Sellers, due diligence providers, and members of the company deal team. Dropbox worked fine, but I'm searching for a better file-sharing solution for the subsequent acquisition. I would love to crowdsource ideas for great file-sharing solutions from this community. Seller perspective: I used Intralinks when we sold my last business to a PE backed firm. It was very robust, but pricey. It did keep us very organized and was very secure (knowing who looked at what, downloaded, etc which was helpful when we had multiple potential buyers). They had good customer service and it was user friendly. I don't think the price point would make sense for a low market deal. As a searcher for a lower market deal (under $1m EBITDA) I am good with dropbox. I am curious if this is typically a buyer cost or seller? As the seller of our last deal, I preferred having the control and was willing to pay for that.

Most lower-middle market brokers use ShareFile (https://www.sharefile.com/). If I am not missing anything, you only pay for users who upload files. Read-only users access files for free
