Hi all — I’m finalizing a Revenue‑Share Agreement that includes a clause allowing transfer to a newly formed entity within 30 days. Additionally, I’m negotiating a single-tier finder’s fee (no percentage tiers): equity-only model plus warrants based on pre‑round valuation.
My main questions:
For the entity-transfer clause (pre-signature), have others experienced any investor pushback or standard formats that ease transfer?
In a flat finder’s fee structure—what’s typical in the search fund world: percentage ranges and warrant terms (pricing, vesting, duration)?
Any tools or templates you’d recommend for modeling equity + warrant outcomes from a single flat fee structure?
