Helped a Non US Citizen Acquire a $7MM Business with $5MM of CRE
Acquisition process is never easy. Not here to promote intentionally. But this buyer could not have done it without the funding. It was a 3 month process in which the client was initially declined due to the high amount of debt in the business he acquired one year ago... And the SBA rules changed earlier this year that he could not restructure his existing debt with a SBA.... On top of this, the acquisition at hand was too large for a basic SBA, he would need a SBA lender that offers Pari Passu, which if anyone has ever gone through that process, the odds would be stacked against you. But he couldn't even try due to the citizenship status... A few weeks after the decline our team was able to convince the lender in the viability of the transaction if we included a debt restructuring of the existing business debt.... This turned into a $9MM term with 25 year terms and using the $5MM CRE as collateral. There were 2 seller notes, $1MM and $1.3MM, the first of which started right away, and second note started in year 3... And the buyers capital injection was $200,redactedBut only $50k of his own money, the rest was from 2 investors.... SBA frowns on all of this....
