Our client has built a patient advocacy platform for the American medical billing system and is offering the acquisition of all or a portion of the company to a partner who will help take it to launch and scale it. The problem is enormous and permanent. Americans carry more than $220 billion in medical debt, roughly one in three adults. In every billing transaction the hospital, the insurer and the collection agency each have an expert, while the patient, who actually pays the bill, has nobody. Our client occupies the one seat no incumbent can ever take, which is the patient's side.
The founders spent more than forty years inside medical billing between them, and that experience has been encoded into a proprietary analysis model built on an expert-curated billing knowledge framework, licensed and public coding and regulatory resources, and independently developed rules and workflows. The model reads a medical bill, tests it against that framework and flags the errors and overcharges a patient would never catch alone. Identifiable patient data is not used in the knowledge base or in model training. A working prototype already runs the entire patient journey, from bill upload through analysis to a drafted appeal letter. The owner of an established medical-billing company with more than forty years in the industry is an equity holder and strategic partner, identified to a qualified buyer under a non-disclosure agreement and with the seller's prior approval.
The commercial model is a tiered subscription rather than the contingency pricing the rest of the category uses: a free tier, a self-directed plan at approximately thirty dollars a month, and a full-service plan at approximately fifty dollars a month in which the company's specialists audit, dispute, negotiate and resolve the bill. A bill takes roughly 120 days to resolve, so the average subscriber represents at least four months of recurring revenue. The scale channel is employers and organized groups such as unions, firefighters, police and military associations, where one contract covers hundreds or thousands of lives. Competitors price on ten to twenty-five percent of savings, often with deposits and minimum bill sizes, which leaves the everyday insured patient and the uninsured market essentially unserved. And the federal rule that would have removed medical debt from credit reports was struck down in July 2025, leaving a patchwork of state law and credit bureau policy that patients cannot navigate alone.
What conveys is a Delaware C corporation holding the platform, its proprietary analysis model, an expert-curated billing knowledge framework held as a trade secret, the brand and domain, and all associated intellectual property, together with the company's exclusive rights to use the de-identified and aggregated billing data and insights it is contractually authorized to use. The company does not hold, and does not claim to hold, any billing company's historical archive or any underlying patient records. The intellectual property was formally assigned to the company by its technology partner under an executed agreement, so a buyer acquires owned assets rather than licensed ones.
Our client is bringing this opportunity to market in order to fund the build to a launched product and to scale it alongside a partner, while the founders continue to run the business. Confidentiality is a concern for the seller while the right buyer is identified, so the specific city, exact ZIP and name of the business are shared only after a prospective buyer signs an NDA and is vetted, and the location and ZIP shown above reflect the broader market area rather than the operating location.
NDA is required to secure a comprehensive Confidential Information Memorandum (CIM) crafted by ProNova Partners.
Detailed Information
Facilities: None. The company operates entirely remotely, with no leased or owned commercial space, no premises open to the public, no vehicles and no physical assets of consequence. No real property conveys.
Competition: The medical bill advocacy category is active but fragmented, with no dominant national brand and no incumbent owning the patient's trust. The established players compete on human advocacy priced as a percentage of savings, and the benefits navigation firms treat bill advocacy as one feature among many rather than the core mission. Free nonprofit alternatives exist but are limited in scope and capacity. Competitor pricing described here reflects publicly advertised rates in 2026 rather than independently verified figures.
Growth & Expansion: The documented plan runs on four tracks. Scale the employer and organized-group channel, where each contract covers hundreds or thousands of lives. Deepen the proprietary model so it carries more of the audit and dispute work under expert oversight, which widens margin without adding headcount. Expand into segments already within reach, including the uninsured, Medicare seniors, chronic condition patients, gig workers, and additional bill types such as No Surprises Act cases, workers compensation and no-fault. And build the referral and reputation flywheel through documented patient outcomes and education-driven content. A patient financing option and an attorney referral network are identified as later revenue extensions rather than current operations.
Financing: TBD if structure and terms are acceptable.
Support & Training: The founders intend to remain with the business and continue to run it, so this is a continuity situation rather than a handover. The technology partner that built the platform remains engaged and holds an ownership interest in the company. The proprietary billing knowledge is actively being documented and encoded into the platform under a formal data-governance and de-identification process, which is the transition a buyer would want to see and which is already underway.
Reason for Selling: Seeking a partner to launch and scale; founders stay on to run it.
