How Can Ontario Businesses Form Enforceable Terms of Service Online?
How many times this week have you clicked “I accept” without reading a word? Most of us never stop to ask how that click creates a contract. Buyers of online businesses can’t afford not to. When you acquire a business that sells online, its terms of service may govern subscriptions, refunds, liability limits and dispute resolution across the entire customer base. A polished website can hide a broken contracting system, and if those terms weren’t formed properly, the protection you think you’re buying may not be there. Due diligence should look past the storefront: Does acceptance use a clear, affirmative step, or only a footer link? Does the checkout meet Ontario’s consumer protection rules for internet agreements? Were changes to the terms made in a way that binds existing customers? Can the seller produce records showing which version each customer accepted, and when? Our founder, @Wes Forgione, explains what makes online terms enforceable in Ontario in our new Knowledge Centre article, along with a practical checklist. It’s general information only.
