I'm working with a first-time buyer right now — deal under LOI, clock running. 🏃♀️
The LOI gives him 60 days of diligence. The document set is clean, professional, everything an AI tool would happily summarize into a confident memo.
Here's what none of his tools/people flagged:
The owner he's buying from hasn't actually run the company in years. Someone else does — a person who appears nowhere in the deal documents as a risk, and who could walk at close. The working capital language in the LOI also quietly contradicted itself in two places. Neither problem lives in the financials. Both could have cost him the first year of ownership.
I use AI every day in buyer-side work — it's genuinely good at reading what the seller wrote down. It cannot tell you who really holds the keys, which customer relationships leave with the founder, or what breaks in your first 90 days as an owner.
