Incorporating for a cross-border acquisition (looking for tips)

I currently own an operating company in Canada as well as a holding company. I am planning to grow my company via acquisition and purchase the shares of a US based company.

How would you go about structuring this purchase? I am of course discussing with my accountant and lawyer, but I am looking for tips and experience. Do I incorporate a US entity first to make the acquisition? And if so, should that be done by my company, myself or my hold co?
