Is anyone familiar with deal structuring with search investors capital?

Hello everyone, as Searcher I would like to structure a deal with equity and debt. Does anyone have experience in raising money from search investors and rolling it into a deal with a step up? The question here is whether this capital is added to the equity and has to be leveraged accordingly.

Your experience would help me a lot in structuring the investor terms.
