Two real challenges on this one. First, the seller occupied the operating premises and the buyer had to relocate the business. Most advisors would have flagged that as a deal-killer. We pulled CRE comps for the service area, mapped vacancy rates by submarket, and modeled customer attrition risk. The relocation worked because the route economics held; most pest control revenue is recurring contract work and the customer relationship survives a move within the same service radius. Second was the financials. Cash basis books, normalization disputes between buyer and seller, and a valuation gap that took weeks to close. The QoE provider restated to accrual; we worked the addbacks with the underwriter line by line and got the deal to a DSCR the credit officer could approve without conditions.
