Hey,

'I'm currently investigating to raise a SF, and first thing first, I'm looking for any material, template, draft of PPM, legal documentation to kickstart the SF as an american PPM can't apply easily.

Thank you so much!

Start with the Stanford Primer PPM, and then take the draft to a lawyer and a tax advisor for review and edits. A startup lawyer at your school could help you with this process. PPMs and qualified investor rules exist in France. A Société en Commandite is a type of limited partnership that can be used to raise capital from qualified investors in France and you might decide to incorporate in a neighboring jurisdiction.

You will most probably have more international investors than french ones in your cap table so english is a must. As per the legal adaptation of the SF model in French law, as said by Stefano, Spark is the one. My two cents: don't try to reinvent the wheel on the legal side, you have other priorities.
