Does anyone have recommendations on a good resource for performing QofE for the financial diligence component of a deal? Thanks!

Fair warning - I've probably got QoE PTSD because of the bad experiences we've had.

You want to get to know what you're receiving for QoE. Many accounting firms have QoE as the only product they offer that the price isn't based on hours invested. And it's usually pretty high. Especially if you want the CPA to stamp it - they are very resistant to provide that level of certainty / accountability.

Get QoE samples from anyone that you're considering. You'll be surprised at how boilerplate most of them are, filling pages with generic industry information and not offering much insight into the company that you're pursuing.

I wish I could say that "you get what you pay for" here. We've seen the above at all price points. You've got to wade through them to find the one that gives you what you're really looking for at a price structure you can live with.

Good luck!

Happy to throw our hat in the ring too for Rapid Diligence. Our CPAs only do buy-side QoEs for SMB buyers so that's been our sole focus for a while. All of our QoEs are led by our in-house CPA, based in Houston with 10+ years of M&A experience.
