I have a US-based business services deal under LOI that I am raising money for.
Deal Terms:
$1.0M Adj. EBITDA
$4.0M purchase price
$3.1M SBA loan
$400k seller note
$500k equity required
I will be selling $500k of preferred equity. It will have a preferred return of 8% and will convert into 15% of the common equity. The preferred shareholders can expect a 35% IRR.
