Looking for a lawyer with M&A experience in the travel/tourism industry and ideally with SBA lending familiarity. Est ~$5M in enterprise value transaction. • Be experienced in lower middle market transactions • Know how to review and negotiate asset purchase agreements • Understand licensing, liability, insurance, and regulatory considerations for tourism industry • Be comfortable with SBA 7(a) loan requirements, especially representations, warranties, and indemnifications relevant to SBA lenders • Ideally, be licensed in Nevada or able to work with a local counsel partner

Just to clarify for anyone reading, there's no such thing as an M&A attorney who specializes in “tourism.” That's not how legal specialization works in dealmaking. What actually matters is structure, buyer protection, and SBA alignment. Most of the SBA nuance comes from your lender. The attorney just needs to keep the APA lender-compliant, clean on reps and indemnifications, and protective for the buyer etc. If you want someone sharp on the buyer side, we work with a top litigator out of Michigan, Paige ,who handles structure, clawbacks, enforcement, and post-close protections. She's aggressive when needed, court-tested, and moves fast without letting seller-side noise water things down. Happy to intro you if helpful.
