Looking for M&A attorney recommendations for lower middle market deals. We work with independent sponsors and searchers on diligence and post-close execution and are building out our partner network. An M&A attorney who specializes in LMM transactions is one of the most common gaps we see for sponsors going into LOI. Specifically looking for attorneys who: Have closed deals in the $1M to $5M EBITDA range. Understand SBA 7(a) structures and can work within that process. Move fast inside a 60 to 90 day exclusivity window. Know the independent sponsor model and how those deals are structured. If you have worked with someone great and would recommend them, drop a name below or feel free to DM me directly. Happy to share what we learn with anyone who is looking for the same.

Hi Stephanie, My firm (www.ecom.law) focuses exclusively on e-commerce law and serves as outside general counsel for our clients, covering transactions, legal compliance, corporate, tax, and IP. That means when we work on an acquisition, we already understand how these businesses operate, what the real risks look like, and what happens after closing. We've advised on over a billion dollars in deals across e-commerce, agency, and tech, and we work with operators daily on the issues that actually run their businesses. Many of our deals are in the LMM and we have structured and closed a substantial number of 7a deals.
