Use of Proceeds: Refinance an expensive factoring LOC that costs ≈ $700 k per year in interest.
Facility Size: Up to $3 m (sufficient to retire the LOC and cover closing costs).
Collateral:
1st-lien on all business assets (book value ≈ $3 m).
Pledge of majority equity as additional security.
Post-Refi Economics: Interest savings lift EBITDA to ≈ $1.7 m.
Management / Support: Current owner stays on as operator; our group earns meaningful min equity through turnaround, installs SOPs, and provides ongoing financial oversight. We also hold an option to acquire the business at a pre-agreed price, structuring it as a management buyout.
