There are some businesses where I wonder if it's better to start fresh or buy in - this is one of those. For me, I think what would add value would be long term exclusive contracts, extremely strong branding (unlikely due to presence of large players), or some proprietary software that makes workforce management easier. Red flags would be low conversion (temp to regular), high workers comp costs, and ambiguity about co-employment (even on the agency side, account reps need to word things correctly).
