M&A Advisory Engagement Letter

Has anyone ever dealt with an M&A Advisory firm? I was approached by one with an engagement letter. Fee structure seemed a bit odd, but the "First right of refusal" for fund raising really threw me for a loop.

Am I being to cautious, or is this something to be concerned about?

You have to be very careful with these engagement letters, not only around compensation and how it is calculated, but also around exclusivity and your obligation to refer all leads to the advisor, as well as to any tail periods. Happy to discuss.

Thanks Brian. I’m having an attorney look at it now. I will share what the possible sticking points were, and how the attorney suggests tackling them. I would also love to know your experiences as well.
