M&A Legal Recommendation?

Hi,
I'm looking to acquire a small SaaS company based out of Eastern Europe. We have agreed to terms and I have have under LOI. I'm looking for legal assistance to incorporate "NewCo" as a Delaware C-corp that then acquires the foreign assets. I intend to retain the overseas entity and build it up as an offshore dev center.
Does anybody have a good recommendation for a service provider that is both rock solid and not affiliate with some big firm with really high bill rates (examples: Wilson Sonsni, Orrick, Perkins Coie)?

Can highly recommend www.lippes.com, they helped with the acquisition of our SaaS. Found many pitfalls that we could have tapped into.
