Good video. A different experience. In my 35+ years of M&A. I have never had seller note offset clause tied to add-backs or topline. No buyer even asked for it. (Note: My businesses are non-retail, and none had unreported cash sales. Many had significant add-backs.)

What were the offsets tied to, assuming any existed at all?
