Paving Roll Up 45M EBITDA platform Acquisition.

I'm doing a Paving Roll up at my company The Pave. I am closing on our 3rd company next month that will put us at 68 Million in revenue and 7.5M of EBITDA. A very unique opportunity has been presented our way to buy a massive paving business that wants to sell to us that has 43M of EBITDA and 350 of Revenue. The CEO would come in and become President at The Pave and come over full time at The Pave and acquire more paving businesses so we can get this to 75-90M of EBITDA before we sell.

I'm looking for a large Family office or PE group that would want to participate in a 400M raise. We just received a term sheet for 150M dollars so we've passed the diligence test from other PE firms.

I will just advise as someone who is doing a roll up in this sector. Those businesses under 5M in rev. are extremely risky. There's a 5-7% cap ex budget on revenue and your net free cash flow in relation to ebitda is about 50% also needing the license to operate the business. Half the time these guys this small are running a sub par operation.
