Planning the last 45 days to close

I'm 45 days from closing on a $2.5M service business and am looking for any resources (checklists, project plans, etc.) that outline key activities to be completed before closing. I feel good about my debt financing and financial DD and am getting my attorney started on purchase agreement prep and legal DD. But, I want to make sure I'm not missing any of the finer details (e.g., setting up payroll, transferring lease).

Would love to take a look at anything you've got that might help me as I compile my own project plan for the final push.

Be mindful of Seller Fatigue. It can upend a deal in the end. Keep them focused on post-transaction activities and their new life. Keep their eye on the prize so they can deal with the strain of DD.

I also suggest that you focus only on the things that will get the deal closed. For example, you can set up payroll after close. Don't overload yourself either.
