Pre Close Legal Support | Out of State Acquisition

Looking at a few deals outside my home state where I would relocate post close to operate the businesses. For the folks that have done this, do you typically use legal support in your home state where you have a relationships? Or find a local M&A attorney to support the process?

Thanks for the tag, Luke! Rich, when we represent clients engaging in transactions in other jurisdictions, we will typically handle all of the transactional aspects of the deal, through the Closing, but obtain local counsel support to render any opinions required by the other side, or a simple consultation where local law requirements make that appropriate. The mechanics of the transaction, and the key provisions that every good M&A Agreement should include for the client's protection, are fairly generic, but there are certain vagaries of state law which can apply (even if the governing law of the Agreement is that of a different jurisdiction), where prudence dictates having a local counsel provide input as necessary to provide comfort to yourself (and your out of state counsel) just to make sure everything is correct.
