Private Placement Memorandum (PPM) & Attorney Recommendations

Does anyone have a Private Placement Memorandum (PPM) or term sheet template that they can share? I'd like to find one specific to raising acquisition investment capital as opposed to raising a search fund.
Also, if anyone could pass along any law firms that specialize in search funds, this would help me as well.
Appreciate any thoughts.

Hi, Brian. We write a lot of private placements at our firm, and in my experience, a template may be helpful in understanding the components of a PPM, but should never be used for text of the document. Each company is different, with its own set of corporate disclosures and risk considerations. Since the PPM is your most important document in raising capital through the sale of securities, and will be the first place people go if they want to "get out" of a deal, it is extremely important that they are 100% accurate and complete, and that they comply with all federal and applicable state securities laws. We've worked on hundreds of them, and I would be happy to discuss with you offline.
