The Company does not manufacture in-house, but partners with specific factories globally, and utilizes some domestic contract manufacturing. The Company primarily works with distribution partners to serve local markets across North America. An emphasis on supporting its distribution partners with a private label service and business development supports cements the Company as an essential step of the supply chain for its customers. The Company features ideal locations to facilitate distribution and speed of service. Furthermore, nimble operations, supported by a lean and experienced employee base, allow the Company to shift with changing industry dynamics. Banner fosters an entrepreneurial spirit and features several opportunities for growth within its current operating model. Its numerous global supply chain relationships provide the Company with access to a wide range of products, which it can implement into its product mix at any time and potentially boost sales to its customers. Its customers also typically operate in additional markets outside of wide format printing, which provides the opportunity to engage with new suppliers so it can sell to its customers in adjacent markets. Ownership is passively involved. All day-to-day decision-making and operations are performed by key managers. These managers include family members of the owners who intend to stay with the Company long-term post-transaction but are not interested in ownership.
